1. Platform Overview

NestUp is an online platform designed to connect startups (“Startups”) with students or recent graduates (“Interns”) for internship opportunities. Startups can post internship roles, and Interns can create profiles and apply to those roles.

2. Eligibility

• Users must be at least 18 years of age to register.
• By registering, you confirm that all information provided is accurate and truthful.
• You agree to comply with all local laws, including labor laws applicable in your jurisdiction.

3. User Registration and Accounts

• Users must create an account to use the Platform.
• You are responsible for maintaining the confidentiality of your login credentials.
• You must not share your account or use anyone else's account.
• You may delete your account at any time, and your data will be removed within 30 days.

4. User Content and Conduct

• Users may submit content such as company information, student profiles, and internship descriptions.
• You retain ownership of your content but grant us a non-exclusive, royalty-free license to use it for providing and promoting the Platform.
• You agree not to post, upload, or transmit any content that is illegal, abusive, defamatory, pornographic, harassing, or otherwise violates these Terms.

5. Intern Responsibilities

• You agree to provide accurate profile information and only apply to internships you're genuinely interested in.
• You understand that applying does not guarantee selection.
• You acknowledge that we are not responsible for the actions of any Startup you interact with.

6. Startup Responsibilities

• Startups must provide honest, complete internship postings and abide by applicable labor laws.
• You must not collect, store, or use student data beyond the purpose of the internship recruitment.
• You are solely responsible for payment, contracts, and engagement terms with interns.

7. Payment Terms (for Startups)

• Startups may be charged for premium features or posting internships.
• All payments are processed securely via third-party providers (e.g., Stripe). We do not store payment details.
• No payments are collected from Interns.
• Fees paid are non-refundable unless required by applicable law.

8. Communication Features

• Startups can initiate text-only communication with Interns once an application status is changed from "rejected" to another value.
• No image, audio, or video messaging is supported.
• Abuse of messaging features may result in account suspension.

9. Intellectual Property

• We retain all rights to the Platform, including but not limited to software, branding, and UI/UX elements.
• Users may not reverse-engineer, decompile, copy, or resell any part of the Platform.

10. Data Protection and GDPR Compliance

• We are committed to protecting personal data under GDPR and international privacy laws.
• Users agree to our Privacy Policy, which outlines how we collect, process, store, and protect data.
• Users have rights including access, deletion, correction, and data portability.
• Users can request account and data deletion at any time.

11. Platform Availability and Disclaimer

• We do not guarantee continuous availability of the Platform.
• The Platform is provided "as is" without warranties of any kind.
• We are not liable for delays, failures, or errors beyond our control.

12. Limitation of Liability

• To the maximum extent permitted by law, we are not liable for any indirect, incidental, consequential, or punitive damages arising from your use of the Platform.
• We are not responsible for any agreements or disputes between Startups and Interns.
• In all cases, our liability is limited to the amount you paid (if any) for accessing paid features in the 12 months prior to the claim.

13. Account Termination and Suspension

• We may suspend or terminate any account that violates these Terms or poses a risk to our Platform or other users.
• Users will be notified of violations when appropriate, except in cases of fraud, abuse, or urgent legal reasons.

14. International Users

• The Platform is open to users globally. It is your responsibility to ensure compliance with local laws, especially related to labor, privacy, and employment practices.
• If you access or use the Platform from outside India, you are responsible for compliance with all local laws.

15. Children's Use

• Our services are not intended for individuals under the age of 18. If we become aware that a minor has registered, we will promptly delete their data.

16. Indemnification

• You agree to indemnify, defend, and hold us harmless from and against any and all claims, liabilities, damages, losses, and expenses arising from your use of the Platform, violation of these Terms, or infringement of any third-party rights.

17. Changes to the Terms

• We reserve the right to modify these Terms at any time. Changes will be posted on this page with a new effective date.
• Continued use of the Platform after changes implies acceptance of the revised Terms.

18. Governing Law and Jurisdiction

• These Terms shall be governed by and interpreted in accordance with the laws of the Republic of Ireland.
• Any disputes shall be subject to the exclusive jurisdiction of the courts located in Ireland.
